IMAGE AND RECORDING RELEASE 

Consumer Research — Internal Use Only 

IMPORTANT — PLEASE READ BEFORE PARTICIPATING: This Release covers a two-phase research study: (i) a digital ethnography phase in which you will create and submit photographs, videos, and written responses, and (ii) a face-to-face interview that will be video/audio recorded. This Release grants an irrevocable right to use all content you create or that is recorded during both phases for the Client’s internal business purposes. Participation is entirely voluntary. If you do not wish your image, voice, likeness, or self-documented content to be used as described below, please inform the researcher before the study begins and do not sign this Release. Once signed, the rights granted herein cannot be withdrawn. 

Client: Antedote

  1. Description of Activity

The Participant named above (“Participant”) is voluntarily taking part in a consumer research study (“Study”) conducted by Antedote Ltd, a company incorporated in England and Wales (“Consultancy”), on behalf of its client identified above (“Client”). The Study comprises two phases: 

Phase 1 — Digital Ethnography: The Participant will document aspects of their daily life, habits, and opinions by uploading photographs, videos, and written diary entries (“Participant Content”) to an online research platform over a specified period. 

Phase 2 — Face-to-Face Interview: The Participant will attend an in-person interview recorded by video/audio means (“Interview Recordings”). The interview may reference Participant Content from Phase 1. 

Together, Participant Content and Interview Recordings are the “Recordings.” Recordings may be edited and incorporated into composite films, segment portraits, presentations, or other materials for the Client’s internal use. 

  1. Grant of Rights

In consideration of the participation incentive described in Section 6, the Participant grants to the Client and the Consultancy, together with their respective affiliates, successors, agents, and authorised representatives, the irrevocable, perpetual, royalty-free right and licence to: 

(a) Use, reproduce, and store all Participant Content created during Phase 1; 

(b) Capture, record, and fix the Participant’s image, voice, likeness, statements, opinions, and testimonials during Phase 2; 

(c) Edit and incorporate the Recordings into composite films, segment portraits, highlight reels, presentations, and other materials (“Edited Materials”); 

(d) Use the Recordings and Edited Materials for the Client’s internal business purposes, including: research analysis, internal presentations, strategy development, internal training, stakeholder communication, and corporate decision-making; and 

(e) Share the Recordings and Edited Materials with the Client’s internal personnel, agencies, and authorised consultants for the purposes described above. 

  1. Scope Limitations — Internal Use Only

The Recordings and Edited Materials shall be used solely for internal business purposes. They shall not be used in public advertising, commercial broadcasts, public-facing social media, or any mass distribution medium without separate written consent from the Participant. 

  1. Irrevocable Grant

The rights granted under this Release are irrevocable once the Participant has signed and participated in any phase of the Study. The Participant understands that: (a) content from both phases may be edited into composite Edited Materials alongside other participants’ contributions; (b) it may not be practicable to remove an individual’s contribution from Edited Materials once produced; and (c) the Client may rely on Edited Materials for ongoing internal purposes over an extended period. 

If the Participant does not agree to these terms, they should inform the researcher before the Study begins and decline to participate. No adverse consequences will result from declining. 

  1. Retention

Raw Recordings: Unedited Participant Content and Interview Recordings will be retained for a maximum of 12 months following completion of the Study, then securely deleted. Edited Materials: Composite films and other Edited Materials may be retained for up to 5 years from the Study date, or such longer period as is reasonably necessary for the Client’s ongoing internal business purposes, after which they will be securely deleted. 

  1. Compensation

The Participant will receive a participation incentive as communicated prior to the Study. This constitutes full and complete compensation for participation in both phases and all rights granted under this Release. No further fees, royalties, or payments shall be due. 

  1. Data Protection

The Consultancy and Client process the Participant’s personal data in accordance with the UK GDPR and the Data Protection Act 2018: 

Data Controller: Antedote Ltd, on behalf of the Client. 

Personal data: Name, image, voice, likeness, opinions, photographs, videos, diary entries, and identification data in the Recordings. 

Purposes: Recording and production of research materials; market research analysis, internal presentations, strategy development, and other internal business purposes. 

Lawful bases: Performance of this contract (Article 6(1)(b) UK GDPR); and legitimate interests of the Client and Consultancy for ongoing use of Edited Materials (Article 6(1)(f) UK GDPR). A legitimate interest assessment has been conducted. 

Recipients: Internal personnel of the Client and affiliates, the Consultancy, and authorised agencies/consultants for the purposes described herein. Platform content is accessible to authorised research team members only. 

Retention: As described in Section 5. International transfers: Where the Client is based outside the UK, transfers will be subject to appropriate safeguards under Chapter V UK GDPR. 

The Participant may: access their personal data; request rectification; object to processing based on legitimate interest; request restriction; and lodge a complaint with the ICO (ico.org.uk). The right to erasure may be limited where data has been incorporated into Edited Materials and removal is not practicable. Contact: [email protected]. 

  1. Release and Waiver

To the fullest extent permitted by law, the Participant releases and holds harmless the Client, the Consultancy, and their respective directors, officers, employees, agents, affiliates, and successors from all claims, demands, damages, losses, costs, and expenses arising from the use of Recordings and Edited Materials as permitted herein. Nothing in this Release limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. 

  1. Miscellaneous

This Release is the entire agreement between the parties on these matters, superseding all prior discussions or agreements. If any provision is found unenforceable, the remainder continues in full force. This Release may be executed in counterparts. 

  1. Governing Law and Jurisdiction

This Release is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from this Release. 

ACKNOWLEDGEMENT AND SIGNATURE 

By signing below, I confirm that I have read and understood this Release in its entirety, including the irrevocable nature of the rights granted across both phases. I am signing voluntarily and of my own free will. I am aged 18 or over. I understand I may decline to participate without adverse consequences.
