Non-Disclosure Agreement

THIS AGREEMENT is made on the Date:

WHEREAS:-

The parties at various times to discuss with each other general concepts or individual projects involving the disclosure by each party to the other of confidential information over an extended period of time.
Each party wishes such confidential information to be received by the other party on the terms of this agreement.

IT IS HEREBY AGREED AS FOLLOWS: -

In this agreement ‘information’ means information relating to the actual or proposed products, processes, techniques and business activities of the disclosing party whether orally or in writing and including (but not limited to) drawings, sketches, photographs, models and computer software.
Any information disclosed by one party to the other shall be disclosed strictly on the basis that the information is to be kept confidential by the recipient and will not in any way be described, used, charged, assigned or otherwise disposed of or disclosed to any third party without the prior written consent of the disclosing party.
The provisions of clause 2 above shall not apply to any information which:
1. is already known to the recipient at the time of disclose; or
2. is at the time of disclosure in public domain; or
3. which is lawfully communicated to the recipient by a third party who did not acquire it directly or indirectly from the disclosing party under an obligation of confidentiality; or
4. which the recipient is required by law to disclose.
The disclosure of information on the terms of this agreement shall not of itself amount to a license to the recipient to use the information; and any related plans, drawings and other documentation disclosed with or as part of the information shall remain the property of the disclosing party and shall be returned on request together with all copies thereof.

Each party shall ensure that those of the employees, agents and sub-contractors who have access to information disclosed by the other party are bound by a confidentiality undertaking in similar terms to the one set out in this agreement.
The obligation of confidentiality contained in this agreement shall expire five years from the date of disclosure of any confidential information to the recipient.
This agreement is made subject to the Laws of England and the parties hereby submit to the non- exclusive jurisdiction of the English Court.

Please note this agreement is valid for 7 years. The project is planned for c. 2029/30 but given the potential for any delays in aircraft deliveries, it may end up in 2030/31.

You acknowledge that in the event you breach or threaten to breach this agreement, in addition to any other remedies and damages available, BA will be entitled to take action including, but not limited to, banning future travel by you on any BA flights and / or revoking your Executive Club membership with immediate effect.

I have read, understood and accepted this Non-Disclosure Agreement with C Space as stated and referred to in this document.
