CONFIDENTIAL INFORMATION AGREEMENT

In consideration of CONSUMER EYES, INC., a New York corporation (the "Company")
entering into a business relationship, I agree to the following:

1. Confidential Information.
During the course of my association with the Company I realize that I will have access to confidential and proprietary information. I understand that the confidential treatment of such information is extremely important to the Company and their clients. Accordingly, I agree to consider as confidential all information disclosed to me and any materials seen by me during my association with the Company. I agree to take all reasonable precautions to prevent disclosure of said information or materials – including the fact/knowledge that we are meeting – to third parties and to not use said information or materials without the express consent of Consumer Eyes, Inc. These obligations of confidentiality and non-use shall continue until such information or material
becomes generally available to the public.

2. Assignment of Inventions.
I understand that any information I share during the scope of the project, including, but not limited to, unique business strategies, theories and concepts, information regarding plans, strategies, opportunities, processes, ideas, inventions, research and know-how, trade secrets, patents, other intellectual property, recipes, ingredients, techniques, equipment, manufacturing processes, marketing, personnel, financial data, technical information, methods, processes, brand names, advertising slogans, product descriptions, marketing tactics, formulae and information hereafter disclosed to the Company by me may be used by the Company for the Company's own benefit in perpetuity.
