Confidentiality Agreement

THIS AGREEMENT is dated

Approach Studio Ltd. incorporated and registered in England and Wales with company number 13094554 whose registered office is at 20-22 Wenlock Road, London, England, N1 7GU

(“APPROACH STUDIO LTD”),

And

(“The Recipient”)

(each a “Party” and together the “Parties”)

Definitions

The definitions in this clause apply in this agreement.

Confidential Information: Any information, in any form and format, relating to APPROACH STUDIO LTD or its business, which is confidential to APPROACH STUDIO LTD, including, but not limited to, information relating to APPROACH STUDIO LTD’s business dealings, clients, customers and suppliers, operations, business plans, products, financial information and projections, intellectual property or other information of a confidential or proprietary nature (including without limitation intellectual property owned by, lawfully in the possession of, or licensed to, APPROACH STUDIO LTD); any information specifically designated by APPROACH STUDIO LTD as confidential; any information supplied to the Recipient by any third party in relation to which a duty of confidentiality is owed or arises; and any other information which should otherwise be reasonably regarded as possessing a quality of confidence or as having commercial value in relation to the business of APPROACH STUDIO LTD.

Objective: Freelance employment, discussion of confidential project work.

Disclosure of Confidential Information and the Recipient’s obligations

In furtherance of the Objective, APPROACH STUDIO LTD may disclose or make available Confidential Information to the Recipient, and the Recipient may otherwise receive or become aware of the Confidential Information. The Recipient undertakes to respect and preserve the confidentiality of the Confidential Information, subject to the terms of this agreement.

In consideration of APPROACH STUDIO LTD agreeing to disclose or make available to the Recipient the Confidential Information, the Recipient agrees that it shall not, without the prior written consent of APPROACH STUDIO LTD: communicate, or otherwise make available, the Confidential Information to any third party; or use the Confidential Information for any commercial, industrial or other purpose whatsoever other than solely and exclusively for the purposes of the Objective; or copy, adapt, reproduce or otherwise use or deal in any way with the Confidential Information, save as strictly necessary for the purposes of the Objective.

The Recipient may disclose the Confidential Information or any part thereof, to any director, employee, agent, contractor or professional adviser of the Recipient who needs access to the Confidential Information in furtherance of the Objective. In such an event the Recipient agrees to ensure, prior to such disclosure, that the director, employee, agent, contractor or professional adviser in question is made aware of the confidential nature of the Confidential Information and understands and agrees that he/she is and shall be bound by obligations of confidentiality no less restrictive or protective of APPROACH STUDIO LTD and the Confidential Information than those set out in this agreement. The Recipient agrees to take all reasonable steps to oversee the use of the Confidential Information by such directors, employees, agents, contractors or professional advisers and to enforce against them their obligations of confidentiality (including without limitation at the request of APPROACH STUDIO LTD).

The obligations set out above shall not apply or shall cease to apply to such part of the Confidential Information as the Recipient can show to the reasonable satisfaction of APPROACH STUDIO LTD:

at the time of receipt by the Recipient pursuant to this agreement is in the public domain, or subsequently comes into the public domain other than through the breach of this agreement by the Recipient, or a director, employee, agent, contractor or professional adviser of the Recipient to whom it has been disclosed in accordance with the obligation clauses above; or was lawfully in the possession of the Recipient prior to receipt by the Recipient pursuant to this agreement; or is lawfully received by the Recipient from a third party who neither acquired it in confidence from APPROACH STUDIO LTD, nor owed APPROACH STUDIO LTD a duty of confidence in respect of it.

The restrictions in the obligations clauses above shall not restrict the Recipient from disclosing (but only to the proper recipient) any Confidential Information which the Recipient is required to disclose by law or any order of a court or any relevant regulatory or other competent body, provided that the Recipient shall have given prior written notice to APPROACH STUDIO LTD of the requirement and of the information to be disclosed and allowed APPROACH STUDIO LTD an opportunity to comment on or challenge the requirement and seek an appropriate protective order or confidential treatment of such Confidential Information before making the disclosure. The Recipient shall only disclose the minimum information required by the relevant law or order and shall cooperate with APPROACH STUDIO LTD in attempting to obtain assurance that confidential treatment will be accorded to any Confidential Information that is required to be disclosed in accordance with this clause.

Upon the earlier of a written request from APPROACH STUDIO LTD, or the conclusion or completion of the Objective, the Recipient shall return to APPROACH STUDIO LTD any and all Confidential Information then in its possession or control (including all Confidential Information disclosed to its directors, employees, agents, contractors and/or professional advisers) and will not retain or permit the retention of any copies of the same. The Recipient acknowledges and agrees that this agreement, and the confidentiality obligations contained herein, shall continue without limit of period.

The Recipient acknowledges and agrees that a breach by it of any term of this agreement will or may result in irreparable and/or continuing damage to APPROACH STUDIO LTD for which there may or will be no adequate remedy at law, and that in the event of such breach or any threatened breach, APPROACH STUDIO LTD shall be entitled to apply for injunctive relief and such other and further equitable relief as may be appropriate. The Recipient shall immediately notify APPROACH STUDIO LTD in writing of any breach of this agreement, and shall offer all reasonable assistance and co-operation to APPROACH STUDIO LTD in regaining possession and control of the Confidential Information and preventing further unauthorised use of the same.

The Recipient agrees to indemnify APPROACH STUDIO LTD from and against any and all losses, damages, costs, claims, proceedings, liabilities and/or expenses (including legal expenses) which APPROACH STUDIO LTD may incur or suffer as a result, directly or indirectly, of any breach or threatened breach of this agreement, or any other unauthorised disclosure or use of the Confidential Information, by the Recipient or its directors, employees, agents, contractors or professional advisers.

Property Rights

As between the Parties, the Confidential Information (and any related documentation) is proprietary to APPROACH STUDIO LTD, and the Recipient acknowledges that any disclosure to or receipt by the Recipient of Confidential Information pursuant to this agreement shall not confer on the Recipient any intellectual property right, or other right, title or interest, in or in relation to the Confidential Information.

General

No variation of this agreement shall be effective unless it is in writing and signed by, or on behalf of, both Parties.

Writing or written includes faxes but not e-mail or any other form of electronic communication except where expressly provided to the contrary.

This agreement, and all non-contractual obligations arising out of or in connection with this agreement, shall be interpreted and construed in accordance with English law, and the Parties hereby submit irrevocably to the exclusive jurisdiction of the English courts to resolve any dispute between them, provided that APPROACH STUDIO LTD shall have the right to initiate proceedings against the Recipient in any other court of competent jurisdiction.

Each of the Parties shall do and execute all such further acts, documents and things as may be reasonably required to give full effect to the terms of and the transactions contemplated by this agreement.

This agreement has been entered into, and shall be effective on and from, the date stated at the beginning of it.
